Relief Defendants.


Onix Capital LLC, is a limited liability company with a principal place of business in Miami Beach, Florida. Onix Capital LLC conducted business as a U.S.-based asset management company under the umbrella of Grupo Arcano S.A.  Both Onix Capital LLC and Grupon Arcano S.A. were entirely owned by Alberto Chang-Rajii.   In soliciting loans and investments, Alberto Chang-Rajii allegedly represented to would-be creditors or investors that he had earned an MBA from Stanford, that he was an early investor in Google and had turned a $10,000 investment in Google into more than $700 million, and that he received a “Best Investor” award from the Angel Capital Association. It was later alleged that the foregoing representations were false.

Onix Capital LLC and Mr. Chang allegedly also misled investors by providing investors a “certificate” which falsely represented that Mr. Chang’s accounts held with the financial institution J.P. Morgan in the United States added up to an amount exceeding $100 million as of March 25, 2013, when in reality, Mr. Chang’s accounts with J.P. Morgan in the United States held less than $1 million on March 25, 2013, and held less than $10 million at all times.

Onix Capital LLC and Mr. Chang are alleged to raised approximately $7.4 million from investors based on the foregoing misrepresentations, including $5.7 million in promissory notes and more than $1.7 million of membership interests in several special purpose vehicles (Deep Ocean LLC, Next Cab Ventures LLC, Next Call Ventures LLC, Next Pay Ventures LLC, Next Track Ventures LLC, and Progressive Power LLC) that Mr. Chang created to invest in emerging technology companies.  Mr. Chang guaranteed note investors annual returns ranging from approximately 12% up to approximately 19%, and promised that interest and principal payments on the promissory notes would be paid from Onix Capital LLC investments in innovative companies. However, Onix Capital LLC allegedly paid $4.3 million to investors using funds that it had commingled with other investors’ funds because Onix Capital LLC did not generate any income during the period of time that it made the payments to investors.

In March 2016, Mr. Chang’s alleged misrepresentations regarding his background and success were reported by the media in the United States and in Chile.  Following the publication, Onix Capital LLC stopped making payments on its promissory notes altogether.

In November 2016, the Securities and Exchange Commission (“SEC”) filed a complaint in the United States District Court for the Southern District of Florida against Onix Capital LLC and Alberto Chang-Rajii (together “Defendants”) for violation of the Securities Act, Exchange Act and Advisers Act, alleging that they had committed fraud in the offer and sale of securities, committed fraud in connection with the purchase or sale of securities, and engaged in prohibited transactions as investment advisors.  In an amended complaint, the SEC named Deep Ocean LLC, Next Cab Ventures LLC, Next Call Ventures LLC, Next Pay Ventures LLC, Next Track Ventures LLC, and Progressive Power LLC as Relief Defendants, and alleged that the Defendants used the proceeds of their fraud to purchase equity interests in non-public companies and later transferred those equity interests into the Relief Defendants. 

On March 28, 2017, the Court appointed Melanie E. Damian to be the Receiver over Onix Capital LLC, the Relief Defendants, and their subsidiaries, successors and assigns.  As Receiver, Ms. Damian is empowered by the Court to, among other things, exercise full power and control to administer and manage the business affairs and assets of Onix Capital LLC and the Relief Defendants located within the United States, and to marshal and safeguard all such assets and take whatever actions are necessary for the protection of any investors and creditors of Onix Capital LLC and/or Relief Defendants.

En noviembre de 2016, la Securities and Exchange Commission, SEC por sus siglas en Inglés, presentó una denuncia ante el Tribunal de Distrito de los Estados Unidos para el Distrito Sur de Florida contra Onix Capital LLC y Alberto Chang-Rajii (en conjunto "Demandados") por violación de la Securities Act , Exchange Act y Advisers Act, alegando que estas habían cometido fraude en la oferta y venta de valores, cometieron fraude en relación con la compra o venta de valores y participaron en transacciones prohibidas como asesores de inversion. En una demanda enmendada, la SEC nombró a Deep Ocean LLC, Next Cab Ventures LLC, Next Pay Ventures LLC, Next Track Ventures LLC y Progressive Power LLC como Socios o Asociados, y alegó que los Demandados usaron los ingresos de sus Fraude para comprar participaciones de capital en compañías no públicas y luego transferir esas participaciones de capital a sus Socios o Asociados.

El 28 de marzo de 2017, la Corte designó a Melanie E. Damian para que fuera la Administradora Judicial sobre Onix Capital LLC, Socios o Asociados, y sus subsidiarias, sucesores y cesionarios. Como Administradora Judicial, la Sra. Damian está facultada por la Corte para, entre otras cosas, ejercer todo su poder y control para administrar y administrar los negocios y activos de Onix Capital LLC y los Demandados de Socorro ubicados dentro de los Estados Unidos y para ordenar y salvaguardar Todos estos activos y tomar las medidas que sean necesarias para la protección de los inversionistas y acreedores de Onix Capital LLC y / o de los Defensores de Alivio.
